Section 8 Company Registration in Haryana – Process, Fees & Documents

Choosing a Section 8 licence in Haryana offers several advantages from faster regulatory processing to strong CSR connectivity and cost savings.

• CRC Manesar is in Haryana. The office that processes every Section 8 incorporation in India is in Manesar, Gurugram district. Haryana-registered companies sometimes see faster query turnarounds.
• Gurugram CSR at your doorstep. Maruti, Hero, DLF, Accenture, EY, Google India and most of their India offices are within 30 minutes of Gurugram and Manesar.
• No Profession Tax. Some states like Maharashtra, Karnataka, Gujarat, Tamil Nadu, and West Bengal all charge a professional tax whereas Haryana doesn't and it saves a lot of money.
• Nominal stamp duty. The stamp duty charges are very nominal and can be easily paid.
• Faster RoC processing. It handles Punjab, Haryana, and Chandigarh a smaller combined filing volume than RoC Delhi or RoC Mumbai. Name approvals are faster during peak months.
• Active NGO community in Gurugram. Urban poverty, women's safety, mental health, climate, skill training there's a reasonably active NGO scene here. Finding collaborators and CSR consultants who know the local landscape is easier than in smaller cities.
• Pan-India operations. Your registered office must be in Haryana, but programmes, branches can operate in any state.

While Haryana offers some advantages of Section 8 company registration but there are some of the practical limitations:

• Slightly more expensive than Delhi. Delhi's zero stamp duty makes it fractionally cheaper at incorporation. If cost is your only criterion, Delhi wins by about ₹1,000.
• State schemes are more limited. If your work is primarily grassroots-rural in Bihar, Odisha, Madhya Pradesh, or Jharkhand, registering in those states might give you better access to their local government schemes, whereas Haryana's state offers lower urban and industrial.
• Gurugram office rent. Cyber City and Udyog Vihar commercial rents run ₹100–200 per sq ft per month. Virtual offices start at ₹3,000–5,000/month and are accepted by MCA. Faridabad and Panipat are cheaper if you want a physical office on a budget.
• ROC Chandigarh covers three jurisdictions. During peak filing months, i.e., March and September, you may see a 1–2-day extension in name approvals. Not a major issue, but worth factoring into your timeline.
• Hindi is mandated in some filings. Some Haryana state department forms require bilingual (Hindi-English) submissions. Not a problem for most NGOs, but worth knowing if your team is English-only.

Section 8 companies have a higher compliance load than Trusts or Societies. Here's the yearly checklist for a Haryana-registered Section 8 company:

• AOC-4 (financial statements) - within 30 days of AGM
• MGT-7 (annual return) - within 60 days of AGM
• DIR-3 KYC - by 30 September each year
• ITR-7 - by 31 October each year
• Form 10BD (donations received) - by 31 May each year
• 12AB renewal - every 5 years
• 80G renewal - every 5 years
• Statutory audit - annual mandatory

In order to be eligible you need to meet the minimum eligibility requirements for Section 8 license.

Directors and members

• At least 2 directors (private) or 3 (public)
• One director must be a resident Indian need to physically in India for 182+ days in the previous year
• All directors must be aged 18+
• Members can be: individuals, HUFs, NRIs, foreign nationals, partnership firms, trusts, or other companies

Who can't register

• A One Person Company (OPC)
• Anyone disqualified under Section 164 of the Companies Act
• Entities formed purely for profit

Object and capital

• Object must promote charity, education, science, art, sports, social welfare, religion, or environment
• 3-year financial projection mandatory in INC-15
• No minimum capital, but subscribed capital must hit the bank within 60 days of incorporation
• No profit distribution to members

Haryana works particularly well for non-profits doing CSR-heavy work in Gurugram, Faridabad, or Manesar or for founders who want CRC Manesar's geographic proximity and don't want the ongoing Professional Tax burden.
