- STEP 2 - Apply for name approval through SPICe+ Part A: File on the MCA portal with two proposed names. CRC Manesar reviews them and reserves the approved one for 20 days. DIN application for new directors goes here too. Kindly pre-check your name against the MCA database before filing, as it saves you the resubmission fee if it clashes.
- STEP 3 - Apply for Section 8 Licence using Form INC-12: This is the step unique to Section 8 companies. File INC-12 with the Regional Director (Western Region), Mumbai. Attach your draft MOA (INC-13), AOA, declaration from a CA/CS (INC-14), subscriber declarations (INC-15) and a 3-year financial projection. Most rejections happen here. The 3-year projection has to actually match your stated objectives. It takes 12-15 working days.
- STEP 4 - File SPICe+ Part B: Big integrated form covering company details, DIN, PAN, TAN, EPFO, ESIC. You can also apply for GST, Professional Tax, and bank account opening from this form. For Maharashtra companies, Professional Tax registration is worth doing here itself since it's mandatory anyway.
- STEP 5 - File e-MOA (INC-33) and e-AOA (INC-34): MOA defines what your company is set up to do. AOA covers the internal rules. Both were signed digitally by all subscribers. It is filed alongside Step 4.
- STEP 6 - Receive Certificate of Incorporation: CRC Manesar issues the COI with your CIN, PAN, and TAN. Open the bank account within 60 days and deposit subscribed capital and it takes 2-3 working days.
